Service Agreement

A project-specific agreement connecting the approved proposal, scope, payments, responsibilities and Eastward’s general terms.

Project-specific commercial terms.

1. Services and deliverables

Eastward will provide the services and deliverables described in Proposal [PROPOSAL NUMBER / VERSION], dated [DATE], which is attached or linked and forms part of this Agreement.

2. Project objective

[Summarise the business problem, intended users and desired outcome.]

3. Included deliverables and exclusions

List the agreed deliverables clearly, together with anything specifically excluded such as copywriting, photography, data entry, integrations, third-party subscriptions or ongoing maintenance.

4. Client responsibilities

The client supplies accurate information, required content, access and approvals and confirms it has the right to use material supplied to Eastward. The client remains responsible for factual, legal, pricing, claims, privacy and industry-specific content before approval and launch.

5. Communication and authority

The authorised client contact may give project approvals and instructions. Material decisions about scope, price, timing or launch should be recorded in writing.

6. Feedback and revisions

Reasonable refinements within the approved direction are welcomed. Feedback should be consolidated and specific. A new direction, major new feature, substantial content increase or reversal of approved work may be additional scope.

7. Variations and additional work

Eastward will explain material cost and timing impacts before starting additional work and obtain clear written approval.

8. Client-caused pauses

If content, access, feedback or approval remains outstanding, Eastward may reasonably reschedule the project. Any restart cost must reflect real additional work and be explained before it is charged.

9. Fees and payment

10. Overdue amounts

Eastward may follow up overdue invoices and, where the agreement permits, pause work, withhold launch or suspend an Eastward-managed service after reasonable notice. Any action must remain lawful and proportionate.

11. Third-party costs and services

Domains, hosting, licences, plugins, stock assets, platforms, gateways and other third-party services may have separate terms, fees and availability.

12. Intellectual property

Once all project fees are paid, the client receives the agreed rights in client-specific final deliverables, subject to third-party material and Eastward’s pre-existing or reusable frameworks, code, components, processes, know-how and tools.

13. Portfolio use

14. Confidentiality

Each party will use reasonable care to protect confidential information and use it only for authorised project, business, legal or professional purposes.
